General Agreement: By accessing and using the www.wordsmith.tech website (the "Site"), owned and operated by AnKa Global Inc ("AnKa"), you acknowledge that you have read, understood, and agreed to abide by these Terms and Conditions.

 

Definitions:

In these Terms and Conditions, certain terms are defined as follows:

 

a. "Accepted Quote/Estimate" refers to a written acceptance of a quote/estimate by the client for translation services.

 

b. "Client" refers to the individual or entity requesting translation services from AnKa or on whose behalf the services are requested.

 

c. "Confidential Information" pertains to proprietary information, know-how, and data disclosed in confidence between parties, excluding publicly available information or previously known information.

 

d. "Contract" signifies an agreement formed between the client and AnKa upon acceptance of a quote/estimate and these terms and conditions.

 

e. "Credit Account" signifies an account granted to the client after fulfilling the credit account application requirements and validation by AnKa's finance team.

 

f. "Deliverables" refer to the final products or outcomes resulting from the provided services.

 

g. "Intellectual Property" includes registered and unregistered rights such as copyright, trademarks, patents, designs, trade secrets, and other similar property.

 

h. "Quote/Estimate" refers to a document issued by AnKa to the client detailing the scope of translation services.

 

i. "Source Materials" denote the documents submitted by the client for translation as indicated in the quote/estimate.

 

j. "Website" pertains to wordsmith technology, accessible at www.wordsmith.tech.

 

k. "Working Day" signifies any non-holiday weekday in the United States.

 

Intellectual Property:

All content available on the Site, including images, text, logos, documents, and downloadable files, is the property of AnKa and the Site's creator. Unauthorized use or distribution of such content is prohibited.

 

Sale of Services:

These Terms and Conditions govern the sale of language translation services available on the Site. The following provisions apply:

 

a. A contract is formed between the client and AnKa upon acceptance of a quote/estimate.

 

b. AnKa reserves the right to decline providing services or issuing a quote/estimate for materials deemed offensive, obscene, illegal, or inappropriate.

 

Payments:

Payment for services can be made using Credit Card, PayPal, or Debit Card. By providing payment information, the client authorizes AnKa to charge the payment for the provided services. AnKa reserves the right to cancel or reverse payments.

Limitation of Liability:

AnKa, its directors, agents, employees, subsidiaries, and affiliates shall not be liable for any actions, claims, losses, damages, liabilities, or expenses arising from the use of the Site.

 

Indemnity:

The client agrees to indemnify and hold AnKa, its directors, officers, agents, employees, subsidiaries, and affiliates harmless from any actions, claims, losses, damages, liabilities, or expenses arising from the client's use of the Site or violation of these Terms and Conditions.

 

Applicable Law:

These Terms and Conditions are governed by the laws of the State of New Jersey.

 

Dispute Resolution:

In the event of a dispute that cannot be resolved informally, both the client and AnKa agree to submit the issue to a non-binding mediator and, if mediation fails, to an arbitrator. The decision of the arbitrator will be final and binding, with the mediator or arbitrator being a mutually acceptable neutral party. Mediation and arbitration costs will be shared between the parties. Notwithstanding, both parties retain the right to file actions in small claims court or seek injunctive relief for intellectual property infringement.

 

Severability:

If any provision in these Terms and Conditions is deemed inconsistent or invalid under applicable laws, it will be considered void and removed without affecting the validity of the remaining provisions.

 

Modification of Terms
At our discretion, Wordsmith Technology may edit, add, or remove parts of this agreement. If we do make changes to these Terms of Use, we will make a reasonable effort to provide notice.

Prohibited Conduct
You are solely responsible for your conduct while on our site, and agree to abide by all laws, contracts, intellectual property and third-party rights.

Termination
Wordsmith Technology reserves the right to terminate access to our site and block future use of our services if we deem these Terms of Use have been violated.
